Terms of Use

1. Identification
1.1 healthsignals.news (the “Site”) is published by HEALTHSIGNALS LLC, a Florida limited liability company with its principal office in Miami, Florida, United States (“HealthSignals”).

1.2 Enquiries concerning these terms may be directed to editor@healthsignals.news. Enquiries concerning licensing may be directed to partnerships@healthsignals.news.

2. Scope and application
2.1 These terms govern access to and use of the Site and of all material published through it (the “Content”). Access to or use of the Site constitutes acceptance of these terms in full.

2.2 Persons who do not accept these terms should not use the Site.

2.3 Where particular conditions govern a specific service — a report, a newsletter or a commercial arrangement — those conditions prevail over these terms to the extent of any inconsistency.

2.4 In these terms, “Content” means all material published on the Site, including text, analysis, data, charts, tables, images, compilations and design, and “User” means any person accessing the Site.

2.5 The Site is published from the United States and is directed at a professional readership in the healthcare sector. HealthSignals makes no representation that the Content is appropriate for, or available for use in, any particular jurisdiction. Users accessing the Site from outside the United States do so on their own initiative and are responsible for compliance with the law applicable to them.

3. The Content
3.1 HealthSignals publishes editorial analysis of regulatory, market and clinical developments in the healthcare sector in Latin America and the United States, under the provisions of its Editorial Standards, and discloses its use of artificial intelligence at Use of AI.

3.2 Reasonable care is taken as to accuracy. HealthSignals does not warrant that the Content is free from error. Material errors are corrected under the corrections policy set out in the Editorial Standards.

3.3 The Content reflects the position as at the date of publication. HealthSignals is under no obligation to update it, and the continued availability of an article does not represent that its contents remain current.

3.4 The Editorial Standards and the Use of AI disclosure are statements of editorial policy. They are published so that HealthSignals may be held to them as a matter of editorial accountability. They are not incorporated into these terms, form no part of the agreement between HealthSignals and the User, and create no contractual warranty, representation or obligation enforceable by a User.

4. No advice
4.1 The Content does not constitute investment, legal, medical, tax or regulatory advice and must not be relied upon as such.

4.2 Nothing in the Content constitutes a recommendation to acquire, dispose of or retain any security, to take or refrain from taking any regulatory or commercial action, or to make any clinical or treatment decision.

4.3 The Content is not a substitute for professional advice, for the primary sources cited within it, or for the independent judgement of the User. Decisions taken on the basis of the Content are taken at the User’s sole risk.

5. Intellectual property and permitted use
5.1 HealthSignals is the owner of the intellectual property rights in the Site and, as author of a collective work, in the Content, or holds the corresponding licence in respect of it. Access to and navigation of the Site does not constitute a waiver, transfer, licence or assignment of those rights, in whole or in part.

5.2 The following is permitted without prior consent:

(a) access to, printing of and storage of individual articles for the User’s own reference;

(b) quotation of an extract not exceeding one hundred words in editorial, academic or research work, subject to attribution to HealthSignals and a link to the article quoted;

(c) the sharing of links to any article.

5.3 The following is prohibited without the prior written consent of HealthSignals:

(a) republication of an article in whole or in substantial part, on any platform;

(b) removal, alteration or obscuring of copyright notices, attribution, bylines, source citations, technical protection measures or digital watermarks incorporated into the Content;

(c) sale, licensing or redistribution of the Content, and its incorporation into any paid product or service;

(d) systematic scraping, crawling, harvesting or other automated extraction of the Content, save by a general-purpose search engine crawler which observes the directives published in the Site’s robots.txt and links to the source;

(e) use of the Content, in whole or in part, for the training, fine-tuning or evaluation of any machine learning or artificial intelligence system, or for the construction of any dataset for such purposes.

5.4 For the avoidance of doubt, the permission at clause 5.2(b) does not extend to the reproduction of the Content in internal corporate newsletters or bulletins, in client-facing reports or presentations, in media monitoring, press clipping or content aggregation services, or in any other product or service supplied for consideration. Use of that kind requires a licence.

5.5 Distribution of an article, in whole or in substantial part, to persons other than the User — including by email, intranet, shared drive, internal newsletter or bulletin — requires a licence, whether or not it is for internal purposes and whether or not a charge is made.

5.6 HealthSignals expressly reserves its rights in respect of text and data mining under all applicable law, including Article 4(3) of Directive (EU) 2019/790. This reservation applies to the whole of the Site and is expressed additionally by machine-readable means.

5.7 Licensing, syndication and reprint requests may be directed to partnerships@healthsignals.news.

6. Trade marks
“HealthSignals”, “The HealthSignals Brief” and the HealthSignals device are trade marks of HealthSignals. Neither these terms nor use of the Site grants any licence to use them.

7. Material submitted by Users
7.1 Material submitted to HealthSignals, including correspondence, story tips and information provided by sources, may be used in the preparation of editorial content.

7.2 Users submitting material warrant that they are entitled to do so and that the material does not infringe the rights of any third party or breach any duty of confidence to which they are subject.

7.3 HealthSignals does not publish the identity of a source who requests that it be withheld. Sources who require confidentiality should say so at the point of contact.

8. Commercial content
8.1 Content for which consideration has been received is identified as such at the point of publication and is not presented as editorial analysis.

8.2 Commercial relationships do not determine editorial coverage. The independence provisions of the Editorial Standards apply.

9. Third-party material
The Site links to regulatory filings, agency communications, clinical registries and third-party publications. HealthSignals does not control such material and accepts no responsibility for its content, availability, accuracy or privacy practices. The presence of a link does not constitute endorsement.

10. Registration
Users registering for The HealthSignals Brief or for access to reports undertake to provide accurate and lawful information and not to impersonate any other person. Where registration results in the issue of credentials, the User is responsible for their custody and confidentiality. HealthSignals may suspend or withdraw access where information provided is inaccurate or where a service is misused. Personal data is processed under the Privacy Policy.

11. Availability
HealthSignals does not warrant uninterrupted or error-free availability of the Site and may modify, suspend or discontinue the Site or any part of it, including any newsletter or report, at any time and without notice.

12. Liability
12.1 To the fullest extent permitted by law, HealthSignals shall not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, data, goodwill or business opportunity, arising from use of or reliance upon the Site or the Content.

12.2 The aggregate liability of HealthSignals in respect of any claim arising from the Site shall not exceed the greater of one hundred United States dollars and the amount paid to HealthSignals by the claimant in the twelve months preceding the claim.

12.3 Nothing in these terms excludes or limits any liability which cannot lawfully be excluded or limited.

13. Indemnity
Users shall indemnify HealthSignals against any claim, loss or expense arising from use of the Site in breach of these terms or from infringement of the rights of any third party.

14. General
14.1 Clause headings are for information only and do not affect, qualify or extend the interpretation of these terms.

14.2 If any provision of these terms is held void or unenforceable, in whole or in part, by any court or competent authority, that finding shall not affect the remaining provisions, which continue in force.

14.3 Failure or delay by HealthSignals in exercising any right under these terms does not constitute a waiver of that right, save where waived in writing.

14.4 These terms, together with the Privacy Policy and any particular conditions applying to a specific service, but excluding the Editorial Standards and the Use of AI disclosure, constitute the entire agreement between HealthSignals and the User in respect of the Site.

15. Duration and amendment
15.1 These terms apply for as long as the Site is made available.

15.2 HealthSignals may amend these terms at any time. The current version is published on this page and the date above revised accordingly. Continued use of the Site following an amendment constitutes acceptance of the amended terms.

16. Governing law and jurisdiction
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. The state and federal courts located in Miami-Dade County, Florida shall have jurisdiction over any dispute arising from or in connection with them.

Nothing in this clause deprives a User of the protection afforded by mandatory provisions of the law of the country in which the User is resident, including any right to bring proceedings before the courts of that country and any right to lodge a complaint with, or seek a remedy from, a data protection supervisory authority.
